6.1 Definitions
For the purposes of this clause:
(a) “Creator” means a Publisher or content creator participating in a Meta Partnership Campaign;
(b) “Meta Partnership Ad” means an advertisement run under Meta’s Branded Content or Partnership Ad policies,
using content from a Creator or Publisher;
(c) “Partnership Campaign” means a Campaign facilitated through the Platform that enables Meta Partnership
Ads to run on a percentage-of-ad-spend basis;
(d) “Rev Share Rate” means the percentage of ad spend payable to the Creator or Publisher participating in a
Partnership Campaign.
6.2 Overview
Partnership Campaigns enable Advertisers to run Meta Partnership Ads through approved Creators and Publishers
on the WordSeed Platform. The Advertiser remains the paying media buyer and is responsible for all ad spend
and compliance with Meta’s advertising policies.
6.3 Rights and Permissions
6.3.1 The Creator grants the Advertiser and WordSeed limited permission to run Partnership Ads on Meta using
the Creator’s approved content, image, likeness, handle, and logo solely within Meta Partnership Ads and
only for the active duration of the relevant campaign.
6.3.2 The Advertiser must seek final approval from both WordSeed and the Creator before any Partnership Ad
goes live.
6.3.3 The Creator may revoke this permission at any time within Meta’s Branded Content tools. Once revoked,
Meta will automatically disable the Advertiser’s ability to run additional Partnership Ads using that
Creator’s handle, logo, or content.
6.3.4 The Advertiser may not use any Creator or Publisher name, image, likeness, logo, trademark, or handle
outside of Meta Partnership Ads approved and executed through the WordSeed Platform without the prior
written consent of WordSeed and the Creator. All rights in the Creator’s content, logo, and identity remain
with the Creator.
6.4 Payment and Revenue Share
6.4.1 Partnership Campaigns operate on a percentage-of-ad-spend model, not on a percentage-of-sales or
fixed-fee basis.
6.4.2 The Advertiser acknowledges that Meta’s systems track media performance only and that post-click sales
data is not available to Publishers or Creators.
6.4.3 WordSeed will invoice the Advertiser only for the Creator’s Rev Share Rate and WordSeed’s applicable
commission, based on verified ad spend reported by Meta. WordSeed will not bill the Advertiser for total ad
spend.
6.4.4 The Advertiser will not attempt to negotiate or settle payments directly with any Creator or Publisher
participating in a Partnership Campaign.
6.5 Control and Termination
6.5.1 The Advertiser may request that WordSeed disable a Partnership Campaign at any time.
6.5.2 If a Creator revokes the Meta partnership or requests removal, Meta’s systems will automatically
disable all associated ads. WordSeed will not have direct control over ad delivery once permissions are
revoked.
6.5.3 Either party may terminate a Partnership Campaign for breach of Meta’s policies, breach of this
Agreement, or fraudulent activity.
6.6 Compliance and Liability
6.6.1 The Advertiser must ensure that all Partnership Ads comply with Meta’s Branded Content Policies,
Advertising Standards, and applicable laws.
6.6.2 All Partnership Ads must include the required “Paid partnership with [Brand]” disclosure.
6.6.3 The Advertiser warrants that all creative, claims, and materials supplied are lawful, accurate, and
non-infringing.
6.6.4 The Advertiser indemnifies WordSeed and participating Creators against any claims or losses resulting
from the Advertiser’s breach of Meta’s policies, Advertising Standards, or this Agreement.
6.7 Limitations
6.7.1 Partnership Campaigns are available only for Meta’s approved Partnership Ad formats.
6.7.2 Publishers and Creators do not have visibility into Advertiser conversion performance or funnel data. A
percentage-of-sales model is therefore excluded.
6.7.3 WordSeed reserves the right to modify, suspend, or withdraw the Partnership Campaign feature at any
time.
6.8 Meta Partner Ads Subscription – Additional Terms
6.8.1 Service Overview
The Meta Partner Ads Subscription enables Advertisers to run paid ads on Meta platforms through Creator or
Publisher handles (“Partners”) arranged and managed by WordSeed.
WordSeed sources Partners, manages onboarding, designs ad templates, secures Partner approval, and delivers
ready-to-launch ads for the Advertiser to publish through their own Meta Ads Manager account.
6.8.2 Subscription and Fees
(a) The service operates on a monthly subscription basis.
(b) The subscription fee and any commission on ad spend are specified at sign-up or within the applicable
plan.
(c) Subscriptions renew automatically each month until cancelled.
(d) Advertisers may cancel at any time; cancellations take effect at the end of the current billing
cycle.
(e) Cancelling a subscription does not stop live ads. Advertisers must pause or end ads directly within Meta
Ads Manager to stop ad spend and the resulting associated commissions.
6.8.3 Account Access and Setup
(a) The Advertiser must grant WordSeed the required permissions within Meta Business Manager to enable
Partner onboarding and campaign setup.
(b) WordSeed will coordinate with Partners to establish Meta Partnership Ad permissions.
(c) All ad spend, targeting, and campaign launch activity are controlled by the Advertiser through its own
Meta Ads Manager account.
(d) WordSeed does not handle ad spend, payments to Meta, or campaign optimisation.
6.8.4 Creative Development and Approval
(a) WordSeed designs ad creative templates using materials provided by the Advertiser.
(b) Each ad must be approved by both WordSeed and the relevant Partner before being released to the
Advertiser.
(c) Only Partner-approved creative may be used in live campaigns.
(d) The Advertiser may not modify or reuse Partner-approved creative outside the approved Meta Partnership Ad
format or campaign unless the updated ad undergoes the same approval process.
6.8.5 Compliance and Responsibility
(a) The Advertiser must ensure that all launched ads comply with Meta’s Advertising Standards, Meta
Partnership Ad policies, and applicable advertising laws.
(b) WordSeed is not liable for any rejections, disapprovals, or account issues arising from the Advertiser’s
Meta Ads settings, targeting, or spend.
(c) The Advertiser indemnifies WordSeed and its Partners against any claims, losses, or liabilities arising
from the content, targeting, or performance of launched ads.
6.8.6 Partner Rights
(a) Partners may withdraw or limit permissions within Meta at any time.
(b) If a Partner revokes access, the Advertiser must immediately stop running ads using that Partner’s handle
or creative.
(c) WordSeed reserves the right to suspend or remove a Partner if a campaign breaches Meta policy or these
Terms.
6.8.7 Termination and Limitations
(a) WordSeed may suspend or terminate access to the service for misuse, non-payment, or breach of these
Terms.
(b) WordSeed does not guarantee Partner availability, campaign performance, or Meta platform stability.
(c) WordSeed’s total liability under this service is limited to the total management fees paid by the
Advertiser during the current subscription month. (edited)
